To improve communications and enhance product support among the used parts departments of franchised Caterpillar dealers — promoting professionalism and the exchange of technical knowledge for the benefit of all members.

Article II
Membership
Membership is open to representatives of franchised Caterpillar dealerships. Members pay annual dues and hold voting rights. Associate (non-voting) memberships are available to related businesses and individuals who support the Association's purpose.
Article III
Annual Meeting
The Association holds an annual meeting each year. The Board of Directors provides written notice of regular and special meetings to the membership at least thirty (30) days in advance.
Article IV
Board of Directors
The Association is governed by a Board of Directors of between three and twelve members, led by a President, Vice President, and Secretary/Treasurer. The Board meets regularly and elects officers. A quorum requires at least 50% of directors, including a minimum of two officers.
Article V
Committees
The Board may establish standing and special committees. An Executive Committee may act on the Board's behalf between meetings, and a Finance Committee oversees the budget and an annual audit of the Association's accounts.
Article VI
Amendments
These bylaws may be amended by a two-thirds vote of the Board of Directors, or by a majority vote of the voting membership at a regular or special meeting.
